Programme Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the programmes, platform, content and related services (the “Services”) provided by HexGn (“HexGn”, “we” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Acceptance of terms

By registering for or using the Services, you agree to abide by these Terms. You confirm that the information you provide about yourself and your organisation is accurate and complete, and that you have the authority to enter into these Terms — including on behalf of any entity you represent. We may update these Terms from time to time; material changes will take effect on posting, and your continued use of the Services constitutes acceptance of the updated Terms.

2. The Services

HexGn may provide access to programme content, learning platforms, webinars, mentoring, advisory sessions and related features. The scope and availability of the Services may change from time to time. The specific terms of any paid engagement — including scope, fees and timelines — are set out in the separate written agreement for that engagement, which governs in the event of any conflict with these Terms.

3. Acceptable use

You agree to use the Services only for lawful purposes. You will not use the Services in any way that could damage, disable or impair them, or interfere with another participant’s use. You will not attempt to gain unauthorised access to any systems, accounts or networks connected to the Services. You also agree not to:

• use the Services for unsolicited messaging, chain schemes or similar activity;
• harass, defame, threaten or otherwise violate the rights of others;
• upload or distribute unlawful, infringing or malicious content;
• collect others’ personal information without their consent;
• misrepresent your identity or share your access credentials with unauthorised parties; or
• use HexGn’s name, logos or materials without our prior written consent.

4. Intellectual property

All programme materials and content made available through the Services remain the property of HexGn or its licensors. Nothing in these Terms grants you any right or licence in our intellectual property except as expressly stated. You may not reproduce, license, sell or otherwise exploit any materials provided through the Services without our prior written consent.

5. Confidentiality

During your participation you may be exposed to confidential or proprietary information belonging to HexGn or other participants. You agree to keep such information in strict confidence, not to disclose it to third parties, and not to use it in any way detrimental to its owner. All confidential information remains the property of the disclosing party.

6. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. You participate in and use the Services at your own discretion and risk.

7. Limitation of liability

To the extent permitted by law, HexGn and its officers, employees and representatives will not be liable for any indirect, incidental, special or consequential damages arising out of or relating to your use of, or inability to use, the Services. Our aggregate liability for any claim relating to the Services will be limited as set out in the applicable engagement agreement.

8. Termination

We may suspend or terminate your access to the Services if you fail to comply with these Terms. On termination, you must stop using the Services and remove any materials we have provided from your systems, subject to any individual licences expressly granted to you.

9. Governing law

These Terms are governed by the laws applicable to HexGn’s place of business. Any disputes will be resolved in accordance with that governing law and the dispute-resolution provisions of the applicable engagement agreement.
